These Terms of Service (“Terms”) govern your access to and use of nexstrideconsulting.com (the “Site”) and any related content, materials, scheduling, or communications (collectively, the “Services”) provided by NexStride Consulting(“NexStride,” “we,” “us,” “our”).

If you enter into a consulting engagement with NexStride, the terms in your signed agreement (e.g., proposal, Statement of Work, Master Services Agreement, NDA) will govern that engagement. If there is a conflict, the signed agreement controls.

2) No Professional Advice Disclaimer

Content on the Site is provided for general informational purposes only and does not constitute legal, financial, tax, accounting, engineering, safety, compliance, or other professional advice. You are responsible for obtaining professional advice appropriate to your situation.

3) Eligibility

You represent that you are at least 18 years old and able to form a binding contract.

4) Acceptable Use

You agree not to:

  • Use the Site for unlawful purposes

  • Attempt to gain unauthorized access to systems or data

  • Interfere with Site operation (e.g., scraping, malware, denial-of-service)

  • Misrepresent your identity or affiliation

  • Upload or transmit content that infringes intellectual property or violates rights of others

5) Intellectual Property

The Site and its contents (text, graphics, logos, templates, frameworks, designs, and materials) are owned by NexStride or its licensors and are protected by intellectual property laws.

You may view and use the Site for your internal business evaluation purposes. You may not copy, modify, distribute, sell, or create derivative works from Site content without our prior written permission.

If you submit information, documents, or messages through the Site or during pre-sales conversations:

  • You represent you have the right to share the information

  • You grant NexStride permission to use the submission to respond, evaluate fit, and communicate with you

  • Confidential treatment may require a signed NDA; absent an NDA, do not send sensitive information you are not comfortable sharing

7) Scheduling and Communications

If you schedule a call, you agree:

  • Information you provide is accurate

  • We may contact you by email/phone to confirm or reschedule

  • We may send follow-up communications related to your inquiry (you can opt out of marketing messages)

8) Third-Party Services and Links

The Site may include links to third-party websites or services (e.g., scheduling tools, analytics). NexStride does not control and is not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

9) Disclaimers

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXSTRIDE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Site will be uninterrupted, error-free, or secure.

10) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXSTRIDE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR SERVICES.

IN NO EVENT WILL NEXSTRIDE’S TOTAL LIABILITY FOR CLAIMS RELATED TO THE SITE EXCEED $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11) Indemnification

You agree to indemnify and hold harmless NexStride from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

We may suspend or terminate access to the Site at any time if we believe you have violated these Terms or if necessary to protect the Site, our business, or others.

13) Changes to the Terms

We may update these Terms from time to time. The “Last updated” date controls. Continued use of the Site after changes means you accept the updated Terms.

14) Governing Law; Venue

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law rules. You agree that any dispute will be brought in state or federal courts located in Mecklenburg County, North Carolina, and you consent to jurisdiction and venue there.
